Senior Director Corporate Counsel, Contracts (Legal)

The Sr Director, Corporate Counsel – Corporate & Commercial Operations is an integral member of the legal team responsible for the day-to-day coordination of legal work on a broad array of corporate contracts across the entire organization, including all commercial customer contracts and related pricing and market access matters. More specifically, s/he will be responsible for (i) handling the day-to-day legal work related to the commercial contracting needs of the company's generics and specialty divisions, including related REMS matters, and marketing and promotional matters, (ii) handling agreement requests and support for Manufacturing and Supply Chain, R&D, Clinical Operations, Regulatory, Corporate Procurement, Facilities and Administrative Services, and IT, among other departments, (iii) working with the Portfolio Review Committee and with Commercial, Sales and Marketing colleagues on review of promotional materials, (iv) working collaboratively with the contracts administration team in review of customer-facing contracts, and (v) collaborating with colleagues in the Law Department to facilitate implementation and oversight of the contracts review policy and internal document repository system. The ideal candidate will have law firm and/or in-house experience in drafting and negotiating a broad array of corporate, operational and commercial contracts, including, NDAs, MSAs, PSAs, HCP and non-HCP consulting agreements, clinical research and REMS agreements, commercial customer agreements, service agreements, MTAs, software license agreements, and many other agreement types. Drafting Commercial agreements will be a critical part of the work and experience drafting product purchase agreements, PBM rebate agreements, GPO and wholesaler and/or distributor agreements, and provider-level agreements will be necessary to manage day-to-day workflows. The successful candidate will be knowledgeable of the generics and specialty U.S. pharmaceutical industry, including U.S. pharmaceutical laws, FDA regulations, and industry standards, GDPR, CCPA and privacy laws, and should be able to apply such laws, regulations and standards to inform business activities. The ideal candidate will also have experience with supporting commercial teams in the review of sales and promotional materials for purposes of compliance with FDA regulations and company policy. The role requires extraordinary organizational capabilities, in addition to outstanding technical legal skills in the relevant areas of contract review across the entire organization. The role also requires experience managing and developing teams and team members, with the ability to activate the employees' individual and collective talents in support of the work. The successful candidate will possess a minimum of 10 years of experience including talent management and development of staff. It is anticipated that the role will have at least one or two direct attorney reports.

Essential Functions:

• Oversee and participating in the drafting and negotiation of the company's corporate, commercial contracts and general business matters while providing direct legal services on a broad range of matters.
• Liaise with generics, specialty, and biologic/biosimilar pharmaceuticals contracts and business teams, as well as other business units across the organization, to create contracts and agreements supporting the business.
• Support business and work with and supervise outside counsel and consultants, as necessary, with respect to review of sales and promotional materials.
• Handle clinical trial and REMS contracting
• Supervise and manage a team of contracting attorneys and/or paralegals in support of the business. Work with and supervise outside counsel on various legal matters as appropriate.
• Provide well‐reasoned and practical legal advice and counsel in a timely fashion.

 

Education:

• Doctorate Degree JD Degree from a nationally recognized law school. Admitted to the Bar of at least one state and eligible for admission to the NJ Bar as authorized in-house counsel. - Required
• Bachelors Degree (BA/BS) - Required

Experience:

• 10 years or more in 10 years of legal experience as a commercial, corporate, transactional attorney with pharmaceutical/life sciences/biotech experience.
